Constitution & Bylaws
Strong organizations are built on strong governing documents. The Constitution & Bylaws program educates members on the importance of developing, maintaining, and regularly reviewing governing documents to ensure every level of the American Legion Auxiliary operates effectively, consistently, and in compliance with National requirements and state law.
Your governing documents—include Constitution, Bylaws, Standing Rules, and Policies—provide the framework for how your organization functions. They establish how members govern themselves, elect leaders, conduct meetings, manage the organization’s business, and ensure accountability and transparency. These documents create consistency, protect the organization, and provide guidance for both routine operations and unforeseen circumstances.
Understanding Colorado’s nonprofit laws is essential when developing and maintaining governing documents at the department, district, county, and unit levels. Equally important is ensuring that all governing documents remain current and are readily available to members. Well-maintained governing documents help organizations operate efficiently, preserve institutional knowledge, support leadership transitions, and ensure continuity during emergencies.
All department, district, and unit Constitutions, Bylaws, and Standing Rules must be consistent with the governing documents of the National American Legion Auxiliary. Whenever National adopts changes to its Constitution, Bylaws, or Standing Rules, subordinate organizations should review and update their governing documents accordingly to remain compliant.
The American Legion Auxiliary Department of Colorado encourages every unit to regularly review its governing documents, make timely updates, and provide members with access to these important resources. If your unit needs assistance, contact the Department Constitution & Bylaws Chairman. Professional parliamentary guidance is also available through the National Association of Parliamentarians.
Strong governing documents create strong organizations—and strong organizations are better equipped to serve our veterans, military members, their families, and our communities.
